1. Purpose of the Subscription Feature
The Subscription Feature allows customers to authorize the Merchant to automatically place scheduled orders for selected products or services using a securely stored, tokenized payment method.
By activating the Subscription Feature, you authorize the Merchant to initiate recurring or scheduled payments in accordance with these Terms & Conditions.
2. Eligibility
To use the Subscription Feature, you must:
- Be at least 18 years old or the legal age of majority in your country;
- Have legal capacity to enter into binding contracts;
- Use a valid payment card or other accepted payment method;
- Reside in a jurisdiction where the Subscription Feature is legally available.
3. Consent to Recurring Payments
By enrolling in the Subscription Feature, you expressly authorize:
- The secure storage of your payment credentials in tokenized form;
- The Merchant and its payment service providers to charge your selected payment method automatically on the agreed schedule;
- The initiation of Merchant Initiated Transactions (“MITs”) after the initial authenticated payment.
The initial transaction may require Strong Customer Authentication (“SCA”), including 3D Secure verification, in accordance with the EU Revised Payment Services Directive (PSD2). Subsequent recurring charges may be processed as merchant-initiated transactions where legally permitted.
4. Payment Processing and Tokenization
The Merchant does not store full payment card details on its own systems unless explicitly stated and legally permitted.
Payment credentials are processed and stored securely using tokenization technology through authorized payment partners and acquiring institutions, including Bank of Ireland.
A tokenized payment credential is a substitute identifier that allows future charges without exposing your actual card number.
5. Subscription Orders
By subscribing, you instruct the Merchant to automatically create and process orders according to your selected frequency, including but not limited to:
- Weekly;
- Monthly;
- Quarterly;
- Custom intervals selected during checkout.
Each recurring order constitutes a separate purchase transaction under these Terms.
6. Pricing and Billing
You agree that:
- The applicable price, taxes, shipping fees, and other charges displayed at the time of processing may be charged automatically;
- Prices may change upon prior notice where required by law;
- Variable recurring amounts may be charged where the subscription depends on usage, quantity, market pricing, or customer-selected modifications.
Where legally required, advance notice of price changes or variable charges will be provided before processing.
7. Failed Payments
If a payment fails:
- The Merchant may retry the payment within a reasonable period;
- Your subscription may be suspended or cancelled;
- Outstanding balances may remain due and payable.
You are responsible for maintaining accurate and up-to-date payment information.
8. Customer Rights and Cancellation
You may:
- Cancel the Subscription Feature at any time through your account settings or by contacting customer support;
- Modify delivery frequency or payment method where functionality is available;
- Withdraw your authorization for future recurring payments.
Cancellation will apply prospectively and will not affect charges already processed before cancellation becomes effective.
9. Consumer Protection Rights
Nothing in these Terms limits any mandatory consumer rights available under applicable EU or EEA consumer protection laws, including:
- Rights under the Consumer Rights Directive;
- Rights under PSD2;
- Refund rights for unauthorized transactions;
- GDPR data protection rights.
10. Refunds and Chargebacks
Refund eligibility is governed by the Merchant’s Refund Policy.
Customers must notify the Merchant promptly regarding unauthorized or incorrect transactions.
Unauthorized payment claims may be investigated in cooperation with the payment provider and acquiring bank.
11. Data Protection and GDPR
Personal data is processed in accordance with applicable data protection laws, including the General Data Protection Regulation (“GDPR”).
The Merchant processes payment-related data solely for:
- Subscription management;
- Payment processing;
- Fraud prevention;
- Legal and regulatory compliance.
You may exercise your GDPR rights, including access, rectification, erasure, restriction, portability, and objection rights, subject to applicable law.
The Merchant’s Privacy Policy forms part of these Terms.
12. Security and Fraud Prevention
The Merchant reserves the right to:
- Decline or suspend subscriptions suspected of fraud;
- Require re-authentication of payment methods;
- Request additional verification information where legally required.
Transactions may be monitored for fraud prevention and regulatory compliance purposes.
13. Changes to the Subscription Feature
The Merchant may modify or discontinue the Subscription Feature upon reasonable notice.
Material changes affecting pricing, billing frequency, or customer rights will be communicated before taking effect.
14. Liability
To the maximum extent permitted by law:
- The Merchant shall not be liable for indirect or consequential damages;
- Liability for unauthorized transactions shall be governed by applicable payment services legislation and card scheme rules;
- Nothing excludes liability that cannot legally be excluded under applicable law.
15. Governing Law
These Terms shall be governed by the laws of [COUNTRY], without prejudice to mandatory consumer protections applicable in the customer’s country of residence within the EU/EEA.
Any disputes shall be subject to the jurisdiction of the competent courts of [COUNTRY], unless otherwise required by mandatory consumer law.
