Caterboss is a business-to-business supplier. By placing an Order, the Customer confirms that they are acting in the course of a business and not as a consumer. These Terms are designed for commercial transactions only and do not grant consumer rights under Irish or EU consumer protection law.
Definitions
(a) The “Customer” means any person or entity placing an Order with Caterboss in the course of business.
(b) The “Goods” means any products or services sold or supplied by Caterboss.
(c) “Order” means any request or order to purchase Goods from Caterboss.
(d) “Website” refers to www.caterboss.ie or any successor site.
(e) The “Parties” means Caterboss and the Customer.
1. Validity
1.1 These Terms constitute the entire agreement between the Parties. Any Customer-provided terms are excluded unless agreed in writing.
1.2 Orders are subject to acceptance by Caterboss. Payment does not constitute acceptance.
1.3 Caterboss may update these Terms from time to time. Updated versions apply to all new Orders from the effective date.
2. Payment Terms
2.1 Standard Payment
Payment must be made in full at time of Order unless otherwise agreed. Orders will not be dispatched until payment is received in full. Prices are in Euro. Credit card payments incur a 1.5% fee; no charge applies to debit cards.
2.2 60/40 Payment Plan (Commercial Customers Only)
· Eligible business customers may apply for the Caterboss 60/40 Payment Plan:
· 60% of the total order value is paid upfront via GoCardless at checkout or at time of manual order.
· A direct debit mandate is created for the remaining 40%, which is paid over 12 equal weekly installments.
· No interest or fees apply.
· Goods are dispatched upon receipt of the 60% deposit.
· Title to Goods remains with Caterboss until full payment is received.
· If any installment is missed, Caterboss may suspend deliveries, demand full payment of the remaining balance, charge statutory interest under Irish commercial law, and/or repossess unpaid goods.
· This is a commercial trade arrangement, not a regulated finance or credit agreement.
2.3 Third-Party Finance or Leasing
Where Customers use third-party finance or leasing agreements:
· The finance provider is the contracting party for payment.
· Goods are delivered only upon confirmation of financing.
· Customers remain bound by these Terms regarding delivery, warranty, and liability.
· Caterboss accepts no liability for the terms or enforcement of any third-party finance agreement.
2.4 VAT and Pricing
Prices exclude VAT unless otherwise stated. VAT is charged according to applicable law. Caterboss reserves the right to correct errors in pricing or product descriptions.
3. Termination
3.1 Caterboss may cancel any Order where payment is overdue.
3.2 Caterboss may terminate if the Customer becomes insolvent or is subject to liquidation, examinership, or receivership.
3.3 Caterboss may suspend performance where external events prevent delivery (e.g., force majeure).
3.4 Caterboss may cancel any Order where the Customer is not legally permitted to purchase certain Goods.
4. Goods
4.1 Descriptions and specifications are as listed on the Website at the time of Order.
4.2 Colour/design selections are subject to stock; substitutes may be offered with Customer approval.
4.3 Out-of-stock items may be cancelled, refunded, or replaced with Customer agreement.
4.4 Orders are accepted only from persons over 18 years of age.
5. Delivery
5.1 Standard delivery to Republic of Ireland is within 24 hours for in-stock items ordered before 4 PM, excluding remote areas or large/fragile items.
5.2 Goods are delivered to ground floor front doors unless otherwise agreed. Additional assistance is at the Customer’s risk.
5.3 The Customer must ensure access and that Goods will fit. Failed delivery due to access may incur fees.
5.4 Risk transfers on delivery. Title remains with Caterboss until full payment is made.
5.5 Goods must be inspected on delivery. Damage must be reported before signing the delivery docket. Claims for missing items must be made within 1 hour.
5.6 Caterboss is not liable for delays outside its control (e.g., weather, carrier issues).
6. Returns
6.1 Returns are subject to Caterboss approval within 14 days of delivery.
6.2 Returned Goods must be unused, complete, and in original packaging. A 50% restocking fee applies unless waived. Special-order items are non-returnable.
6.3 Faulty Goods may be repaired, replaced, or refunded at Caterboss’s discretion under warranty. Customer must provide proof of purchase.
6.4 Customer pays return shipping unless otherwise agreed. Caterboss may refund return shipping for faulty items at its discretion.
7. Limitation of Liability
7.1 Caterboss’s liability is limited to the value of the Order. No liability is accepted for indirect or consequential losses.
7.2 All implied warranties are excluded to the maximum extent permitted by law.
7.3 Goods are not insured in transit unless agreed.
8. Retention of Title
8.1 Title to Goods remains with Caterboss until all amounts due are received.
8.2 Until title passes, the Customer must not resell, pledge, or encumber the Goods and must store them securely and insured.
8.3 In case of default, Caterboss may enter the premises to repossess Goods.
9. Jurisdiction and Notices
9.1 These Terms are governed by the laws of Ireland. All disputes are subject to the exclusive jurisdiction of Irish courts.
9.2 Notices may be served by post or email and are deemed received 48 hours after sending.
10. Intellectual Property & Privacy
10.1 Goods may be protected by copyright. No license is granted unless explicitly stated.
10.2 Data is processed per the Caterboss Privacy Policy, available on the Website.
11. Warranty
11.1 Manufacturer warranties apply. Part-only warranties cover replacement parts; labour is excluded.
11.2 Replacements may be used/refurbished and carry remaining warranty.
11.3 Warranty covers ROI customers only.
11.4 Goods marked "no commercial warranty" are sold as-is.
11.5 Repairs are conducted on-site during working hours unless otherwise agreed.
12. Warranty Exceptions
12.1 Warranty does not apply to unpaid Goods or defects caused by misuse, improper maintenance, or unauthorised repair.
12.2 Consumables (batteries, bulbs, seals, etc.) are excluded.
12.3 Damage from fair wear and tear or accidental causes is excluded.
12.4 Goods not installed by qualified contractors are excluded from warranty.
13. Warranty Procedure
13.1 Contact Caterboss with (1) product code, (2) serial number, (3) proof of purchase, (4) fault details, (5) location, (6) contact person.
13.2 Caterboss will assist with diagnostics and, if necessary, dispatch an engineer as soon as possible. Charges apply if the issue falls outside warranty.
14. Version Control
These Terms apply to all Orders placed on or after 22 May 2025 and supersede any previous terms. A copy of previous versions is available on request.
